Terms of Service

Last updated: 21 July 2025

Welcome to Aardvark, a dictation‑first productivity application offered by JUST BECAUSE LABS LLC, an Ohio limited‑liability company (“JBL,” “we,” “us,” or “our”). These Terms of Service (“Terms”) form a binding agreement between JBL and each end user (“you” or “your”) who accesses or uses Aardvark, our website, mobile applications, desktop clients, APIs, related software, and any content, features, or functionality we make available (collectively, the “Services”).

IMPORTANT NOTICES
• No Accuracy Guarantee – Transcriptions and AI outputs may be incomplete, incorrect, or misleading. Verify before relying.
• Arbitration & Class‑Action Waiver – Section 14 requires individual arbitration of most disputes and waives class actions.
• Prompt‑Injection Ban – Any attempt to override or subvert Aardvark’s system instructions is prohibited and may be illegal under U.S. computer‑crime statutes.

If you do not agree to these Terms, do not use the Services.

1. Eligibility & Account Security

1.1 Age Requirements. You must be at least 13 years old (or the minimum digital‑consent age in your jurisdiction) to use Aardvark. Users under 18 must have parental consent. 1.2 Account Information. You agree to provide accurate information and to keep it current. You are responsible for safeguarding your login credentials and all activity under your account.

2. The Services

2.1 Dictation & AI Outputs. You may input audio or text (“Input”) to generate machine‑produced transcriptions or other content (“Output”). We use large‑language‑model and speech‑to‑text technologies that may be provided by JBL or third‑party vendors. 2.2 No Professional Advice; Accuracy Disclaimer. Output is provided “AS IS” without warranties of correctness, fitness, or non‑infringement. Do not rely on Output for medical, legal, financial, or safety‑critical decisions. 2.3 Beta Features. Any feature labeled “beta,” “preview,” or similar may be unreliable and is provided solely for feedback purposes.

3. Licenses & Ownership

3.1 Your Content. As between you and JBL, you own your Input and (to the extent permitted by law) any Output. 3.2 License to JBL. You grant JBL and our subprocessors a worldwide, non‑exclusive, royalty‑free license to access, process, transcribe, store, and otherwise use Input and Output for: (a) providing and securing the Services; (b) improving the Services and underlying models; and (c) complying with law. 3.3 Model‑Training Opt‑Out. We may, in the future, allow you to disable use of your data for model‑training purposes. Until such functionality is offered, you consent to limited training usage consistent with industry norms and privacy laws. 3.4 Feedback. Any suggestions you submit become JBL’s property without compensation.

4. Acceptable Use

You must not, and must not allow others to:

  • Abuse or Harass. Use Aardvark to threaten, defame, spam, or engage in illegal or fraudulent activity.
  • Prompt Injection or System Tampering. Attempt to override, ignore, or manipulate system instructions, safety filters, or security controls (“Prompt Injection”). Prompt‑injection attacks may violate the U.S. Computer Fraud and Abuse Act and expose you to civil or criminal liability.
  • Reverse Engineering. Probe, scan, or test Aardvark in order to extract proprietary model parameters or system prompts.
  • Unauthorized Recording. Record or transcribe individuals without required consent.
  • Export Controls. Violate embargoes or trade sanctions.
  • Commercial Exploitation. Sell, sublicense, or resell the Services without our written permission (personal use only).

We reserve the right to suspend or terminate accounts that violate this Section or otherwise put JBL, our users, or third parties at risk.

5. Paid Features

Aardvark is presently free. We may introduce paid tiers or à‑la‑carte features in the future with reasonable notice. All fees will be disclosed prior to purchase and are non‑refundable except as required by law.

6. Third‑Party Services

The Services may rely on third‑party speech‑recognition engines, language models, hosting, and payment processors. We are not responsible for the acts or omissions of third‑party providers, whose terms will govern their components.

7. Privacy & Data

Our Privacy Notice explains what personal data we collect (e.g., voice recordings, device metadata), how long we retain it, and your choices. By using the Services, you consent to those practices.

8. DMCA & Intellectual‑Property Complaints

We respect IP rights and will respond to properly formatted takedown notices under the Digital Millennium Copyright Act, 17 U.S.C. § 512. Notices should be sent to:

DMCA Agent – JUST BECAUSE LABS LLC 774 Meredith Lane Cuyahoga Falls, OH 44223 USA Email: [email protected]

9. Modification of the Services

We may add, change, or discontinue features at any time. If a change materially diminishes your rights, we will provide advance notice (e.g., in‑app pop‑up or email) and the change will take effect no sooner than 30 days after notice.

10. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JBL DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

11. Limitation of Liability

JBL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. JBL’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) US$100; OR (B) THE AMOUNT PAID BY YOU TO JBL IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain disclaimers; in such cases, liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend and indemnify JBL, our affiliates, and our personnel from any third‑party claims (including reasonable attorneys’ fees) arising out of: (a) your misuse of the Services; (b) your violation of these Terms or of law; or (c) your Content.

13. Governing Law

These Terms are governed by the laws of the State of Ohio, excluding its conflict‑of‑laws rules, and by applicable U.S. federal law.

14. Dispute Resolution; Arbitration

14.1 Informal Resolution. Contact us at [email protected] before filing a claim; we’ll try to resolve within 60 days.
14.2 Binding Arbitration. Except for certain IP or small‑claims matters, any dispute will be resolved by confidential, binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Location: Franklin County, Ohio, or video conference at your election.
14.3 Class‑Action Waiver. Disputes must be brought on an individual basis; class or representative actions are not permitted. You may opt out of arbitration within 30 days of first agreeing to these Terms by emailing [email protected] with your account email.

15. Term & Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, create risk for us or others, or have not logged in for 12 consecutive months. Provisions that by their nature should survive (e.g., licenses, disclaimers, limitation of liability) will survive termination.

16. Changes to These Terms

We may update these Terms periodically. If we make material changes, we’ll post the revised Terms and notify you 30 days in advance. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

  • Entire Agreement. These Terms constitute the entire agreement between you and JBL regarding the Services and supersede prior agreements.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Assignment. You may not assign your rights; JBL may assign to an affiliate or successor.
  • Waiver. Failure to enforce any provision is not a waiver.
